To copy photos to your computer that were taken with the iPad, copied to it via the camera connection kit, or saved from emails/websites then see this page - if you connect the iPad to your Mac and open iPhoto then the it should recognise the iPad as a camera and allow you to copy those photos off.
To copy photos that were originally synced from a computer you will need a third-party app such as Simple Transfer which can copy them off via your wifi network. But as photos are 'optimised' when they are synced to the iPad, any that you then copy back to a computer may not be exactly the same as they originally were on your computer.

If you have an iPad 1, the max iOS is 5.1.1. For newer iPads, the current iOS is 6.1. The Settings>General>Software Update only appears if you have iOS 5.0 or higher currently installed.

If you are currently running an iOS lower than 5.0, connect the iPad to the computer, open iTunes. Then select the iPad under the Devices heading on the left, click on the Summary tab and then click on Check for Update.
Tip - If connected to your computer, you may need to disable your firewall and anitvirus software temporarily. Then download and install the iOS update. Be sure and backup your iPad before the iOS update. After you update an iPad (except iPad 1) to iOS 6.x, the next update can be installed via wifi (i.e., not connected to your computer).

You've kind of got the question backwards. Your iTunes account includes Quick Time. Quick Time allows you to download CD's directly to iTunes. To download a CD to your iTunes account, simply open iTunes and load a CD into your disc drive. iTunes will ask you if you want to download the CD. Say yes and you'll see the songs downlaod. Then, you connect your iPad to your Computer and let your iPad sync. After syncing, open your iPad by clicking on the device on the left hand side of your iTunes screen. Once open, click on the Music Tab and choose which songs, artics or albums you want to sync to your iPad from your music library.

Note that, if you use iTunes to sync photos onto the iPad, you'll need to use iTunes to take them off.
if you don't have a lot and want to keep deletability, you may want to consider mailing them to yourself, or uploading them to something like dropbox, then downloading them (via the dropbox app) to your iPad.
there are also several photo syncing apps out there that may suit your needs. Afraid I don't have any to recommend. But syncing via iTunes isn't the only way to get photos onto your iPad..it's just the built in way -

Depends what you are trying to transfer.
Are you just trying to add content such as apps, music and photos?
Or are these files that were created by such apps as pages and numbers?
You can download content that was purchased in the itunes or app store by signing into same account.
You can dowload any documents saved to icloud by signing into the same account.
You can create a backup of the first ipad and restore the second from that backup.
You can import or sync the content from the first ipad into itunes and then manually sync to the second.
But this all depends on what you are actually trying to do.
