I suspect you have a 2G iPod. Those can only go to iOS 4.2.1.

You plug it into your computer running iTunes and update it that way.
When was the last time you bothered to sync it? You should have been told about a number of new updates and given the chance to update for quite a while.
Unless, of course, you do NOT have a 3GS, but you actually have a 3G, and are running 4.2.1. In that case, you don't update at all. That's as far as the 3G can go. It was discontinued almost 3 years ago.
