Does anyone know what is the difference between these two versions

The Tungsten T3 is already running Palm OS 5.2.1, not Palm OS 4.x.  Perhaps you are confusing the operating system which runs the device itself, and the Palm Desktop version numbers, which bear no relation to one another.
I suggest you read through this thread stickied near the top of the Windows Hotsync board about syncing an older Palm device to Vista desktops.
