Can't update IOS on ipad
I Am trying to update my iPad IOS but after 5 attempts, it won't accept my Apple sign in. I checked my iTunes and app accounts and it allows me to sign in. Any ideas what I'm doing wrong?
Where won't it accept it? Updates do not require your Apple Id password.
If you are referring to the passcode it requests when attempting to initiate the Update, it is requesting your screen lock passcode. The one you use to unlock your iPad when you turn it on. Not your Apple Id password.

What model/generation of iPad is it?
If its a First Generation iPad it cannot be updated past iOS 5.1.1.
If its a Second Generation iPad or above it can be updated to the current iOS 7. -

If you are on iOS 4 as your tagline suggests then you can only update by connecting to a computer's iTunes - it is only when you have iOS 5+ installed that you will get an Settings > General > Software Update option appear on the iPad which will allow you to do future updates directly on the iPad.
Connect the iPad to your computer and select it on the left-hand side of your computer's iTunes, and copy any purchases off the iPad via File > Transfer Purchases (you may also want to copy photos off the iPad as well) and then force a backup of the iPad by right-clicking the iPad 'Device' on the left-hand side of iTunes and selecting 'Backup'. You may also want to copy off the iPad any important documents, notes, files etc e.g. via the file sharing section at the bottom of the device's apps tab when connected to iTunes, via wifi, email, dropbox etc - they should be included in the backup, but it's best to have a copy of them outside of the backup just in case.
You can then start the update by selecting the iPad on the left-hand side of iTunes, and on the Summary tab on the right-hand side clicking the Check For Updates button.

There is no "update icon" in iOS versions earlier than iOS 5.
The update is very large (over 1.2 gigabytes). You need a good internet connection to download it to your computer. Maybe you'll need to take a trip to a city to get a good enough connection. -
Can I update/upgrade my ipad model # MB292C? I find that many of the apps, such as games I have downloaded require a higher ios and won't update on my ipad.
From what I could find, that is an iPad 1. You can only update to iOS 5.1.1. You can do that on your computer. It may be time to look for a newer iPad as the apps now are set to use iOS 7.0.4.

iTunes needs an internet connection to download the update if it has not already. Then it needs to verify the update with Apple servers prior to installation.
So in short, no, you do need at least some form of internet access to update. -

Tip - You may need to disable your firewall and anitvirus software temporarily. Then download and install the iOS update. After you update to iOS 5.x, the next update can be installed via wifi (i.e., not connected to your computer).
