Dual xeon question

     Hello,
I came about this offer and was wondering if anyone could give me some input on the cpu's and graphics card, especially in the light of the new lga2011 and today's gtx performances.
Mainly for AFTER EFFECTS and PREMIERE PRO.
System one:
Fujitsu Siemens Celsius R650 - 530euro
Cpu : Intel 2x Dual Core XEON E5260 3.30 Ghz
RAM: 8 GB DDR2 Dual Channel
Hard Disk : 146 GB 10K RPM SAS  RAID 0, 1, 5, and 10
Video: Nvidia Quadro FX4600 768MB GDDR3/ 384-bit
Intel® 5400, Intel® 6321ESB I/O Controller Hub
System 2:
Fujitsu Siemens Celsius R650 - 540euro
Cpu: Intel 2x Quad Core XEON E5440 2.80 Ghz
RAM : 2 GB DDR2 Dual Channel
HDD : 2x 80 GB 7.2K RPM SATA  RAID 0, 1, 5, and 10
Video card: Nvidia Quadro FX4600 768MB GDDR3/ 384-bit
Intel® 5400, Intel® 6321ESB I/O Controller Hub
Of course, the only intereting parts are the quadros and the xeons.
Will there be a huge gain in AE within the octocore? (without the 64GB RAM addition? )

I thought as much, but i wanted a professional opinion.
After the launch of the new Sandy Bridge-E, i eagerly wait some AE and premiere tests:).
Biggest and most expensive problem will be the storage array, with the crysis in Thailand, the hdd prices have doubled.
Short question, if on the subject. Is there any way to run CS5 on a 2x dual core xeon mac pro 1.1 a bit faster then it does? Beside buying an nvidia for mac card? Any setting on premiere to use both cpu's?
