Connect the iPod to your computer and restore via iTunes. This will erase the iPod but you can restore from backup. Place the iPod in Recovery Mode if necessary to allow the restore.

See this http://support.apple.com/kb/ht1212, but if that doesn't help, the only other way to get past this is to restore the phone on the computer you normally sync with to your latest backup. This will remove the passcode.
