    If you have an iPad 1, the max iOS is 5.1.1. For newer iPads, the current iOS is 7.1.2. The Settings>General>Software Update only appears if you have iOS 5.0 or higher currently installed.
    You can no longer update to iOS 6.x, or down grade the iOS.

    After canceling the dialog box, iTunes should automatically sync with your iPad.
    If iTunes doesn't automatically sync, you can manually do it by selecting your iPad within iTunes, clicking on the File menu and choosing Sync iPad from the list.
    After your iPad has been synced to iTunes, select your iPad within iTunes. You can find it on the left side menu under Devices.
    From the iPad screen, click on the Update button.

    Since this is posted twice, the other post of the question, Barry, says iOS 4.3 is current iOS version...so the way to update is via iTunes on a computer.  As Barry says, once a version of iOS at or above 5.0 is installed the update can be done wireless.

    You do not have iOS 5 on your iPad so you have to update by using a computer via the latest version of iTunes. You can connect the iPad to your computer and launch iTunes.     After you update to iOS 5 or later, you will have Software Update in you settings and can update via WiFi OTA. If you have the original iPad - you can only upgrade to iOS 5.1.1.

    Thank you for the question.  Are you seeing the previous Apple ID in the iTunes and App Store?  If you are, use these steps to sign in with your new Apple ID:
    Sign in with a different Apple ID
    Tap Settings > iTunes & App Stores.
    Tap your Apple ID.
    If you see the option to Sign In, you can change your Apple ID now.
    Tap Sign Out.
    Enter your Apple ID and Password and tap Sign In.
    Or if you don't have another Apple ID, tap Create New Apple ID.

    If you trying to change the Apple ID signed into iCloud, use these steps:

    iOS 4.2.1 suggests that you may have 2nd generation Touch, which cannot be updated past iOS 4.2.1
    Check http://support.apple.com/kb/HT1353  for help in identifying your model. A quicker method may be to check the back casing. If your iPod has Model No.A 1288 etched into it, then it's a 2nd gen Touch. 
    Assuming that you are using the latest version of iTunes (today, that is 10.6.3), to check if your iPod can be updated, connect it to your iTunes and look on the Device/Summary pane. Select Check for Updates. If there is one, you will see a message telling you that and how to install it. However, if you see a message saying that your iPod is up-to-date, then it cannot be updated.

    I suspect you really have a 2G iPod. Those can only go to iOS 4.2.1.
