It is most likely asking for your Apple ID password, but that is just a guess.
Then again as KarenSelena says if someone set a passcode without actually telling you (maybe a Settings -> General -> Restrictions passcode), that might be why you are getting a passcode request.

If you cannot remember the passcode, you will need to restore your device using the computer with which you last synced it. This allows you to reset your passcode and resync the data from the device (or restore from a backup). If you restore on a different computer that was never synced with the device, you will be able to unlock the device for use and remove the passcode, but your data will not be present. Refer to Updating and restoring iPhone, iPad and iPod touch software.

I am guessing, but it sounds like the account you are changing the password for has 2 factor authentication enabled. When you change any security settings (such as password) Apple sends a one-time code to your iPhone or an email address. You must then enter this code to complete the process of changing your passcode.

Are you using the right number on the back of the card? in my experience there are two, one is the last 4 of the card's number, the other 3 are your security code.

If your phone is disabled from entering the wrong passcode too many times you'll have to restore it to remove the passcode, as explained here: http://support.apple.com/kb/HT1212.
