you can retore it to factory settings also you can Take it to the apple store and they will do it for free. NOTE THAT if you restore to factory settings it will delete everything on ipod touch.

You first have to download the non-compatible version on your computer. Then when you try to purchase the version on your iPod you will be offered a compatible version if one exists. -
My daughter forgot her passcode and tried too many times to remember it, so now her iPod is locked with the message "iPod is disabled. Connect to iTunes." I tried connecting it to iTunes, but iTunes says it could not connect "because it is locked with a passcode. You must enter your passcode on the iPod touch before it can be used with iTunes."

If you restore from iCloud backup the apps will be automatically downloaded. If you restore from iTunes backup the apps and music have to be in the iTunes library since synced media like apps and music are not included in the backup of the iOS device that iTunes makes.

I attempted restore procedures by placing phone in restore mode and connected it to the computer / itunes with which it was originally synced. itunes recognized phone in restore mode and said I must restore. I clicked restore, restore and update. Update began, itunes recognized the device by name and gave error message that stated I must have the passcode to restore. There was no option to restore as new. I attempted to restore the iphone 4s on another computer by instaling itunes, but same error messages appeared. I contacted Verizon and they said they could not help me. The nearest apple retail store is over 40 miles away. PLEASE HELP!

Follow these steps to restore your device:
1. Verify that you are using the latest version of iTunes before attempting to update.
2. Connect your device to your computer.
3. Select your iPhone, iPad, or iPod touch when it appears in iTunes under Devices.
4. Select the Summary tab.
5. Select the Restore option.
6. When prompted to back up your settings before restoring, select the Back Up

Placing your device into recovery mode:
Follow these steps to place your iOS device into recovery mode. If your iOS device is already in recovery mode, you can proceed immediately to step 6.
1. Disconnect the USB cable from the iPhone, iPad, or iPod touch, but leave the other end
of the cable connected to your computer's USB port.
2. Turn off the device: Press and hold the Sleep/Wake button for a few seconds until the
red slider appears, then slide the slider. Wait for the device to turn off.
If you cannot turn off the device using the slider, press and hold the Sleep/Wake
and Home buttons at the same time. When the device turns off, release the Sleep/Wake
and Home buttons.
3. While pressing and holding the Home button, reconnect the USB cable to the device.
The device should turn on. Note: If you see the screen pictured below, let the device
charge for at least ten minutes to ensure that the battery has some charge, and then
start with step 2 again.
4. Continue holding the Home button until you see the "Connect to iTunes" screen.
When this screen appears you can release the Home button.
5. If necessary, open iTunes. You should see the following "recovery mode" alert:

Hold down the power and home keys down for about 10 seconds each while plugged into itunes. When the screen goes black, release the power button but keep holding the home key until itunes says. We have detected an itouch in recovery mode.
From there you can restore as normal via iTunes. -

Forgotten Restrictions Passcode Help
You will need to restore your device as New to remove a Restrictions passcode. Go through the normal process to restore your device, but when you see the options to restore as New or from a backup, be sure to choose New.
