You will need to restore your device as New to remove a Restrictions passcode. Go through the normal process to restore your device, but when you see the options to restore as New or from a backup, be sure to choose New.
You can restore from a backup if you have one from BEFORE you set the restrictions passcode.

You'll have to restore your phone as a new device in iTunes or Settings>General>Reset>Erase All Content & Settings to remove the restrictions passcode if you cannot remember it. Restoring from backup will merely continue to restore it.

Have upgraded to 5c and want to give my 4s to parents. Trying to get 4s back to 'factory settings' as was when bought but cannot remember restrictions passcode. If I erase all content and settings will that take it back to how was when bought? Thanks.

You can try this: If you can't update or restore your iOS device
If he had not turned on Find My iPad then it will work, if he had you will run into Activation Lock. If you do run into it you can take a copy of the will (or probate finding if he died without one) and/or a Letter Testamentary and ask if they can look up where he purchased it. If they can, and you have the other documents, they can reset it for you.

Easy but painful. You need to connect the iPod to your syncing computer and restore the iPod to factory defaults/new iPod.
If you restore from backup the unknown passcode will be restored.

TRY FORCE IPAD INTO RECOVERY MODE
1. Turn off iPad
2. Turn on computer and launch iTunes (make sure you have the latest version of iTune)
3. Plug USB cable into computer's USB port
4. Hold Home button down and plug the other end of cable into docking port.
DO NOT RELEASE BUTTON until you see picture of iTunes and plug
5. Release Home button.
ON COMPUTER
6. iTunes has detected iPad in recovery mode. You must restore this iPad before it can be used with iTunes.
7. Select "Restore iPad"...
Note:
1. Data will be lost if you do not have backup
2. If you did not do step 4 properly, start all over again.

The only option is to wipe the device clean and restore it to factory settings. Hope you have a backup.
Follow the instructions in iOS: How to back up your data and set up your device as a new device http://support.apple.com/kb/HT4137 to restore the device to factory settings.
Once you have setup the device as a new one, you can then sync it back with your iTunes account and all your music, apps, contacts and any other content sync'ed with iTunes will be loaded on the device. Any content that is stored only on the device and not sync'ed with iTunes, like app logins or data, will be lost during this process. Be forewarned that this is a long process and can take a couple of hours or more to complete. This can be painful, but it is necessarily so to prevent users from working around the security settings. After the restore is complete, you can setup a new Restrictions passcode. Make a note of the passcode to avoid this situation in future.

But will it reload only the items that were backed up prior to when I originally set the passcode, or will it pull & reload the items that I currently have backed up. I believe I set my passcode up over a year ago, so I really don't want to lose everything that I've added in the last year. Thanks again.

I've made too many attempts to enter a passcode under restictions....for the life of me I cannot remember what it was....I googled how to reset and was given instructions to go to settings and "restore" settings. When I click on "restore" it tells me I'm not connected to the intranet? I have wifi in my house and even went as far as connecting the data cable to my laptop and it's still telling me that I'm not connected? HELP!!

You'll need to restore it, or connect it to the computer that it's synched with. I can't help you fixing your Internet connection, but try to access the Internet by browsing on Safari. Tell me if there is to Internet even in Safari.

If you only changed your password - not your Apple ID - have you changed it in the settings? Settings>Store>Apple ID - tap the ID and you can make changes in there.
You should not have to reset to factory Settings so don't resort to that just yet.
