i updated my ios from ios5 to ios6.0.1 but i don't know my restrictions passcode. i've never enter restrictions passcode. my phone passcode don't work in restrictions passcode. i need help!

Is yours a corporate iPhone? If so, your IT department may have some restrictions set.
If yours is a private iPhone, at some point you did set a restrictions passcode either on that phone or the phone from which you are restoring the backup.  If you don't remember the passcode, the only way to remove it is to restore your phone as a NEW device and not use your backup.

    No, we can't help you. If you can't remember it, you'll have to restore the phone as a new device in iTunes, or: Settings>General>Reset>Erase All Content & Settings, to remove it.

    Since you purchased the iPod used none of the media transferred with the sale of the iPod hardware. The person did not have the right/licence to give you/sell you the media.
    Go to Settings>General>Reset>Erase all content and settings and set up the iPod with your own media.
    If you can't do that,
    Connect the iOS device to your computer and restore via iTunes. Place the iOS device in Recovery Mode if necessary to allow the restore.
    If recovery mode does not work try DFU mode.

    We would like to backup the ipod and erase the restrictions passcode, but keep all other settings for games, music, audiobooks, etc. When I restore the ipod to factory settings, but insert the cd to reload the backup, will the restrictions passcode (that we don't know) be reset to factory or the one we don't know?

    I'm assuming you are using an iPod touch and not a classic or nano...
    What exactly are you trying to backup? If you are referring to the backup that iTunes makes as part of the sync process, you are only backing up your settings, game data, etc. You are not backing up your library.
    You mention a CD. All iTunes operations, including backups, are normally written to your hard drive. Where is the CD coming from and what does it contain?
    When you do a restore, a backup is performed first then your iPod is wiped and the firmware reloaded. At this point, you are given the option to a) restore as a new iPod; or b) use the backup. If you restore as new, then everything is reset (including the passcode) but you do lose your settings. After that point, iTunes resyncs your library to your touch.
    As far as backing your library up, you can do that to a CD, DVD, memory stick, or external hard drive. It's a good idea to do that once in a while - especially if you have a large library.

    That is a security measure. If the device is being tampered with, the longer the "tamperer" has to wait, the more likely they are to become discouraged and give up.
    I think that you get 10 attempts, but I can't swear to that having never been in that position. In any event, you will probably have to restore to factory settings if you want to be able to use the iPad again. You cannot restore from a backup - unless that backup does not have the restrictions passcode in it. If it does not have the passcode in it, then restoring from that backup will eliminate the passcode.
    If you have to restore, you have to use iTunes on a computer, since you cannot get into the settings.
