my ipad is frozen with photo stream message. It gives you a choice to ignore or go to settings, but it will not let me do anything. I can't even shut it down. Can someone help.

Have you tried a soft-reset ? Press and hold both the sleep and home buttons for about 10 to 15 seconds (ignore the red slider if it appears), after which the Apple logo should appear - you won't lose any content, it's the iPad equivalent of a reboot.

Will not move at all, have turned off and on again have left overnight, still stays on Terms and Conditions? What do I do next? Is there a restart button?

On your iPad, Did you try holding down on the sleep and home buttons at the same time until the Apple logo appears? If you didn't try it, go ahead and do it. Wait until the Apple logo appears on the iPad screen before you let go of the buttons.
