You may need to restart your iPhone. If you're still unable to accept, I would recommend resetting the device.

I had the same problem. My phone wasn't finding it so I tried plugging it into my laptop and it said I needed the latest iTunes which I already had.... I unplugged my phone from my laptop and did a soft reset to my phone (hold down the lock button and home button at the same time until your phone turns off) once it turns back on you should find the update... Click general... Software update. Worked for me!

Unless you set the device up for Wifi Sync, you will have to upgrade using iTunes. On the Summary page in iTunes, click the button Software Update.

To update it all you need to do is connect the phone to iTunes and you can then update it.
If you are using anything less than iOS 5, then you can't update directly on your phone as this is not available and iOS 5 is the first OS where this option was available. -

If you are having an issue with updating your iPhone, try it through a different method like in iTunes or through software update on your iPhone in settings. Just to make sure you have an iPad 2. does your iPad have a camera?
If it does not have a camera then it is an iPad 1 or First generation and cannot be updated past iOS 5.1.1.
