That only appears when you have iOS 5+ installed, you will need to do the update via your computer's iTunes.
Connect the iPad to your computer and copy any purchases off the iPad to your computer via File > Transfer Purchases (you may also want to copy photos off the iPad as well) and then force a backup of the iPad by right-clicking the iPad 'Device' on the left-hand side of iTunes and selecting 'Backup'. You may also want to copy off the iPad any important documents, notes, files etc e.g. via the file sharing section at the bottom of the device's apps tab when connected to iTunes, via wifi, email, dropbox etc - they should be included in the backup, but it's best to have a copy of them outside of the backup just in case.
You can then start the update by selecting the iPad on the left-hand side of iTunes, and on the Summary tab on the right-hand side clicking the Check For Updates button.

    Assuming you have iOS 4.3 as your tagline suggests. You'll need to connect your iPad to a Computer running iTuines (Can be a Mac or a Pc doesn't matter) and follow the update prompts.
    You'll probably want to back up the iPad before updating though.

    If you forgot your encryption password:
    Warning: Make sure it's a password you will remember or write it down for safekeeping. If you encrypt an iPhone backup in iTunes and forget your password, you can't restore from backup and your data will be unrecoverable.
    If you can't remember the password and want to start again, you must perform a full software restore and chooseset up as a new device when iTunes prompts you to select the backup from which to restore.

    I found a post with the answer.  Basically I just logged out of the iCloud.  My concern was that I would loose my contacts.   But when i logged back in with the correct AppleID -- it was all there.

I was advised by AT&T back in January that it would be necessary to setup separate iTunes accts for the second and third iPhones in order to receive system updates. The problem would be how to keep all the apps, etc from being deleted off the second and third phones that were originally loaded from the one iTunes acct. Since this AT&T advice was prior to iCloud coming out, would iCloud be a better solution or at least part of the solution? I really don't yet understand how iCloud works.     If you have an iPad 1, the max iOS is 5.1.1. For newer iPads, the current iOS is 6.0.1. For the iPad Mini the iOS is 6.0.2. The Settings>General>Software Update only appears if you have iOS 5.0 or higher currently installed.

    If you are currently running an iOS lower than 5.0, connect the iPad to the computer, open iTunes. Then select the iPad under the Devices heading on the left, click on the Summary tab and then click on Check for Update.
    Tip - If connected to your computer, you may need to disable your firewall and anitvirus software temporarily.  Then download and install the iOS update. Be sure and backup your iPad before the iOS update. After you update an iPad (except iPad 1) to iOS 6.x, the next update can be installed via wifi (i.e., not connected to your computer).

    If you are using the same Apple ID that you used to buy them, it should not be a problem. You must have changed the Apple ID associated with those apps.
