That only appears when you have iOS 5+ installed, if your iPad is on iOS 4 then you will need to do the update via your compuer's iTunes.
Connect the iPad to your computer's iTunes and copy any purchases off the iPad to your computer via File > Transfer Purchases (you may also want to copy photos off the iPad as well) and then force a backup of the iPad by right-clicking the iPad 'Device' on the left-hand side of iTunes and selecting 'Backup'. You may also want to copy off the iPad any important documents, notes, files etc e.g. via the file sharing section at the bottom of the device's apps tab when connected to iTunes, via wifi, email, dropbox etc - they should be included in the backup, but it's best to have a copy of them outside of the backup just in case.
You can then start the update by selecting the iPad on the left-hand side of iTunes, and on the Summary tab on the right-hand side clicking the Check For Updates button.

If you have an iPad 1, the max iOS is 5.1.1. For newer iPads, the current iOS is 6.1. The Settings>General>Software Update only appears if you have iOS 5.0 or higher currently installed.

Plug it into itunes with the USB cable. The over the air update feature is a new feature, not part of iOS4, so you do not have it to use until you update.

Your iPad should be updated to iOS 6.0.1 (which is the only version that is 'signed' by Apple), so you will lose the built-in YouTube app and the Maps app will change - though google do have app versions in the store -

you first you should update your device with iTunes in computer to iOS 5 then OTA (over the air) update button will be enable.
for updating with computer:
1- Download latest version of iTunes from here.
2- connect your iPad to computer (iTunes).
3- in left side (iTunes 10 or older) or in top right (iTunes 11 - latest version) your iPad will be apear.
4- click on it. in summery tab you find update button.

You only have the software update button once you are running at least iOS 5 on the iPad. You need to update with iTunes on your computer first. You must be running the latest version of iTunes on the computer as well.

Are you referring to updating the iOS? Software update for the phone has nothing to do with downloading apps. The only time the OTA software update for the phone iOS was after iOS 5. If you are looking to update applications, then go to the App store and select updates.
