Connect it to your syncing PC and update using iTunes on the PC. The OTA (over the air & under Settings>General>Software Update) update was introduced with iOS 5.

The Settings > General > Software Update option only appears when you have iOS 5+ installed, if you have iOS 4 then you will need to follow the second part of that article and update via your computer's iTunes.
Connect the iPad to your computer's iTunes and copy any purchases off the iPad to your computer via File > Transfer Purchases. You may also want to copy photos and any important documents off the iPad as well e.g. via the file sharing section at the bottom of the device's apps tab when connected to iTunes, via wifi, email, dropbox etc - they should be included in the backup, but it's best to have a copy of them outside of the backup just in case. You can then force a backup of the iPad by right-clicking the iPad 'Device' on the left-hand side of iTunes and selecting 'Backup'.
Then start the update by selecting the iPad on the left-hand side of iTunes, and on the Summary tab on the right-hand side clicking the Check For Updates button

If it's a first gen iPad then it should be update to iOS 5.1.1, if it's an iPad 2 (or 3) then it will update to iOS 6 (so you will lose the built-in YouTube app and the Maps app will change). -

To update the iOS to 5.1.1 from iOS version end prior to iOS 5 you must connect the iPad to a computer running iTunes.
Start iTunes on the computer, connect the iPad, select the iPad in iTunes on the computer. If you are not automatically prompted to update select the General or Summary tab and then click on Check for Updates. -

Open the App Store app on your phone and update all your apps so the will work with the new iOS.
Connect your phone to your computer and open iTunes. If prompted that there is an update available, decline.
Sync with iTunes to create a new backup and transfer any purchases from your phone to your iTunes library.
Import your photos to your computer for safekeeping as explained here: http://support.apple.com/kb/HT4083.
Go back to iTunes, click on the name of your phone on the left side, go to the Summary tab to the right and click on Check for Update (or Update).
This will download iOS to your computer (which may take a while), then install the update on your phone. Pay attention to the progress information in iTunes on the top of the screen, and any information that appears on your phone during this process to be sure you don't disconnect your phone prematurely. -

If you have an iPad 1, the max iOS is 5.1.1. For newer iPads, the current iOS is 6.1.3. The Settings>General>Software Update only appears if you have iOS 5.0 or higher currently installed.

If you are currently running an iOS lower than 5.0, connect the iPad to the computer, open iTunes. Then select the iPad under the Devices heading on the left, click on the Summary tab and then click on Check for Update.

Tip 2 - If you're updating via wifi, place your iPad close to your router to preclude getting a corrupted download.

... and the option to update the software from the iPod using Settings/General is not available on iOS 4 or earlier.
You can get free Apps with iOS 3.x - providing they will run on the version you have. That's dependant upon your model of iPod. So before anything else, which version of iOS do you currently have on your iPod and do you know which model you own?
