Did you already try to reset the phone by holding the sleep and home button for about 10sec,until the the Apple logo comes back again? You will not lose data by resetting.
If this does not help, connect in recovery mode to your computer, explained here:
If you can't update or restore your iOS device
If still no luck, contact Apple to get it serviced:

A reset may help. Tap and hold the Home button and the On/Off buttons for approximately 10-15 seconds, until the Apple logo reappears. When the logo appears, release both buttons.
No content is affected by this procedure.

try a hard reset
press power button and homer button together for 10 secs or till apple logo appears, release keys as soon as u see the apple logo

My phone did the same thing a few hours ago and I too went into panic mode. I called and was told how to do the "hard reset" by holding down the on/off button and the home button. That did enable me to get it turned on however now I cannot get it to stay connected to the cellular network. It will connect for a few minutes but nothing consistent. It has been extremely frustrating. It seems to be a hardware issue (or maybe software since I did update to iOS 5) more so than a cellular provider issue. Reason I say that is because I have not had any connectivity issues prior to this; it was only after the whole phone shuts itself off that it started.
Now, what the tech told me, and it made sense, was that I need to close all my open apps and turn the phone off more often than what I have been. That will help clear out the temporary memory. The phone might have just bogged down due to excessive memory usage and then shut itself off.

I believe I have found some articles that will help you troubleshoot the issues you are seeing with your iPhone. First, in order to get your iPhone turned back on, you will want to try the steps listed in this article:

Specifically, you will want to try this:
Resetting your device
Press and hold the Sleep/Wake button and the Home button together for at least ten seconds, until the Apple logo appears.
You will also probably want to hold the Sleep/Wake button and Home button for around 20 seconds just to be certain. If that doesn't affect the iPhone, you will want to refer to the steps in this article:

It happens to jailbroken iPhones or to the ones which were unlocked unofficially. After the Restore/ Update in iTunes, the iPhone gets locked again to original carrier. Inserting SIM in the iPhone from original carrier would help.

If your carrier supports Personal Hotspot and your account is provisioned for Personal Hotspot, you should find the ability to turn it on in Settings. After connecting to iTunes, I noticed that "Back up to iCloud" was selected (in the middle of the screen on the "Summary" tab, under "Backup"), and "Last backed up to iCloud" reflected the time that I attempted to back up from my phone. Even now, the phone still says "Last Backup: Never," so there is clearly a disconnect. Hopefully Apple will fix this soon.
