How to  download it?

You can update your device wirelessly (available in ios 5 and later)
If not, you need a computer.
As part of the update and restore process, iTunes will (in order):
Back up key elements of your device, such as settings, Contacts, Calendars, Notes, and your Camera Roll. iTunes will not, however, back up media content from your iOS device, such as music, apps, books, movies, and TV shows.
Update your device to the latest version of iOS software.
Restore your device from your most recent backup.
Restart your device.
Sync back media content from your iTunes Library to your device.
If you are attempting to update using a Mac or PC with which you normally sync
If you are attempting to update using a Mac or PC with which you do not normally sync
Additional Information
Notes:
Completing your backup may take some time, depending on the amount of content on your iOS device.
If you are updating your iOS device on a computer with which you do not normally sync , or if you disconnect your device before the sync process is complete, you may notice that some media content that was previously on your device is no longer there. You can restore this content by syncing with the Mac or PC with which you normally sync.
Movie rentals purchased directly from your device will not get transferred to your computer when you sync and transfer your purchases.

    Hello, I hope by now you have resolved the upgrade issue, but if not, here is what I ended up having to do:
    “SUCCESS!!! I took my iPod to a friend who is a computer programmer/genius. He turned off his wireless, hooked the ethernet cable directly into his computer, and the download went through without a hitch. YAY!”
    Here is my original post explaining what I had already tried:

    I got an iPod Touch 1st gen for my youngest son for Christmas as a starter. It has the 2.1.2 ios on it, but after I paid for the upgrade to 3.1.1, I keep getting an error message (8288) saying there was a problem with the network connection. I have called customer service, and they suggested I try on a different computer, and if that didn't work, try connecting to a different network, and then trying the update. None of this has worked. It seems that tech support is clueless with this issue.
    I have installed and unistalled iTunes 10.5, 10.3, 10.4, and now I am back with 10.5. I have tried looking up the issue from several search engines but no one seems to have a universal solution and I have tried several.
    I really want to have this thing updated for himw hwne he opens it, but I am starting to worry that my purchase was a bust. I know this is the oldest version, but I don't want to buy a newer, more expensive iPod and him still not be mature enough to really take care of it. As I said, this one is a starter.

    Now, there seem to be a lot of different ways to solve the 8288 error, none of which are universal. Best of luck getting yours upgraded!

    P.S. The post by Sparkhi is a link to his blog going into a long story about how he wanted Apple to pay him for “solving” the issue….the one that apparently has been solved by multiple solutions. I’m not trying to bash, it just bothers me that he put up this whole story and finally, at the very end of his blog post, posts his solution.

    Running iOS 8 I had downloaded and not installed IOS 8.0.1 software update.  A "1" Badge appears as expected on my Settings icon.  I then removed the software from storage.  Settings->General->Usage->Manage Storage but the badge was not removed.  Things I have already tried that did not work:
    - Checked for software update
    - Rebooted phone

    So with the release 8.0.2 the badge went away once I updated.
    I did however download, watching it until it completed.  Then chose "LATER" before the timer ran out.
    Then went back to install it.  I am not sure if forcing later is needed, but I wanted to make sure it would force it to update the badge to "1" once I went to install it.  If someone else who has the problem tries it without choosing "LATER" please update the thread for others to let them know if it was needed.

    Log out of any iTunes account on iPhone then go to the app store. Find a free app and purchase it. Create a new account and select none for payment. Pretty simple

    How did you get it onto the phone in the first place? You had to have synced it from a computer if it wasn't purchased from the iTunes store. You should still have it in your iTunes library...
    Other than for items purchased from the iTunes store, media sync is one way, computer to iPhone. There is no supported method of getting other music off of the phone to a computer. If you google, you may find some useful utilities that will help.
    If the media resides on a different computer and you're changing the one you are going to sync with, just back up the iTunes library and transfer it to the new computer.

    Why did you not back it up before performing the update? Did you perform the update on a computer other than the one you normally sync with?
    As already stated, if you didn't back it up, the data is now gone.

    I recently merged 2 iTunes libraries into 1 on a PC. This has resulted in 1000's of dead files, notated by a ! (exclamation point). Does anyone know of a quick way of removing all of these without needing to spend many hours doing it manually?

    Lost & Found
    Create a playlist called Found, select everything in Music and drag it into the Found playlist (it may take some time to count the tracks that are to be dropped). Create a smart playlist called Lostmatching All the rules Playlist is Music and Playlist is not Found. Your lost tracks will be in this playlist. You should be able to select all the tracks in this playlist with CTRL-A and then remove them from iTunes with CTRL-SHIFT-DELETE.
    Or use iTunes Folder Watch with its option to check for dead tracks on start up.
    However if the broken tracks are duplicates of non-broken files then I've written a script called DeDuper which can help remove unwanted duplicates, merge ratings, play counts and playlist membership, and remove dupes with dead links as long as there is one real file to merge the stats to. See this  thread for background. I also have a tool called FindTracks for fixing the broken links if the files are sill there but not quite where iTunes is looking for them. For more details see this thread.

    IOS 5.1.1 supports iPhone 3GS, 4 and 4S but not iPhone 3G.
    If you have 3GS or higher, connect and select iPhone in iTunes under DEVICES (left panel) and in Summary pane, click Check for Update button.
