    Installing the appropriate combo update may help...
    If you are running v10..7 Lion, install the OS X Lion Update 10.7.4 (Client Combo)
    For 10.6 Snow Leopard >  Mac OS X 10.6.8 Update Combo
    Then restart your Mac. Try the App Store.
    If that doesn't help, try the following..
    Quit the App Store if it's open.
    Open the Finder. From the Finder menu bar top of your screen click Go > Go to Folder
    Type this exactly as you see it here:
    /Library/Preferences/SystemConfiguration
    Click Go
    Move the NetworkInterfaces.plist file from the SystemConfiguration folder to the Trash.
    Relaunch the App Store and try downloading Mountain Lion.
    You may also need to disable anti virus software and turn off the Firewall in System Preferences > Security (or Security & Privacy) > Firewall

    Update: i spoke to a very knowledgeable applecare representitive who walked me thrue the process, we were trying to figure out what exactly was preventing Mountain Lion from installing & (after a process of elimination) it turns out you need to be log in as an Admin to download it, we also made sure everything was up-to-date. Downloading Mountain Lion took about 40 minutes (with roadrunner high speed internet, DSL might be a bit slower) once it was downloaded the installation process was very intuititive with just a few clicks and about 35 minutes i had the latest Operating System.

    This procedure is a diagnostic test. It’s unlikely to solve your problem. Don’t be disappointed when you find that nothing has changed after you complete it.
    The purpose of the test is to determine whether the problem is caused by third-party software that loads automatically at startup or login, by a peripheral device, by a font conflict, or by corruption of the file system or of certain system caches.

    If you are trying to reinstall Lion, you need to use Lion Recovery

    *****   Your post is rather confusing. There's a difference between reinstalling Lion and downloading Mountain Lion.

    The only thing that worked for me was to boot in safe mode.
    Power down.  Then press power button and hold 'shift' key until grey screen with progress bar appears... Once booted and logged in just open safari and browse to applestore. 
    No trouble at all once I did this.
    Reminder: create full backup before you upgrade OS

    Make sure your Mac qualifies for Mountain Lion  >  Upgrade your Mac to OS X Mountain Lion.
    If you have anti virus software installed, disable that before downloading apps.
    Turn off the Firewall in System Preferences > Security (or Security & Privacy) > Firewall
    Try deleting the cache, cookies, and preference files (plist) associated with the App Store.
    Quit the App Store if it's open.
    Open the Finder. From the Finder menu bar click Go > Go to Folder
    Type this exactly as you see it here:
    ~/Library/Caches/com.apple.appstore/Cache.db
    Click Go
    Move the Cache.db file to the Trash.
    Now here:
    ~/Library/Preferences
    Click Go
    Move these files from the Preferences folder to the Trash.
    com.apple.appstore.plist
    com.apple.storeagent.pllist
    Now here:
    ~/Library/Cookies
    Click Go
    Move the com.apple.appstore.plist file from the Cookies folder to the Trash.
    Empty the Trash, try the App Store.

    If you have Intego VirusBarrier X6 installed
    1. Open /Applications/VirusBarrier X6.
    2. Click on the "Surf" button.
    3. Click on the "Ad Banner Filter" tab.
    4. Click "OFF" next to "Banner advertisement filter".
    5. Start the computer in Safe Boot, then restart the computer into normal mode.
    If don't not have Intego Virus Barrier installed
    1. Verify that the date and time is correct on the computer.
    2. Safe Boot once, then restart normally, then try downloading again.
    3. Try with a different user account if the issue persists
    If the issue persists
    Install Lion onto an empty partition (internal or external).
    Note: You can Use Disk Utility to live partition the internal drive and create a second partition large enough to install Lion.
    Start from the clean installation of Lion.
    Download Mountain Lion from the Mac App Store. Note that the original startup disk can be set as the destination for Mountain Lion during the installation process.
