You must restore it with iTunes.
Try placing the iPod Touch into recovery mode.

Without that all I can suggest is:
Place the iOS device in Recovery Mode and then connect to your computer and restore via iTunes. The iPod will be erased.

try to restore in itunes bye putting in recovey mode turn the ipod off press the home button and plug in the ipod into the computer. an itunes shuld see it in recovery mode and click restore. and that should do the trick.

Well first off you shouldn't have had to pay for a download (just an assumption from the word "purchased".
If you are trying to install iOS 5 on your iPod touch, it won't work they arent compatible. I suggest checking what version of software you are trying to install and posting it in this forum so people can have a better understanding. -

Forgotten Restrictions Passcode Help
You will need to restore your device as New to remove a Restrictions passcode. Go through the normal process to restore your device, but when you see the options to restore as New or from a backup, be sure to choose New.
