Memory = Ram, the 40G free space you are referring to is hard drive storage space available, 2 very different things.
In order to run Lion you MUST have at least a Core 2 Duo processor and 2G of Ram, to find out whether you qualify (and it seems as though you don't) go to
Apple>About this Mac: you will be able to see the processor type and Ram installed thus
If you have less than 2G of Ram you can install more, if however you have a Core Duo (instead of Core 2 Duo) you can not run Lion.

Try opening the Terminal utility in your system and running the following command to open the system's caches folder:

Then locate and remove the folder called "com.apple.appstore" and then try relaunching the App Store and downloading the installer again.

Its starts the download but constantly stops after few mbs and says an error has occured, check you internet connection. there are many reasons not to update apps, wow, you probably just buy anything people tell you!! Sometimes you lose parts of an app with an update, like when shazam started limiting how many checks you could do. if you didn't update you would still be able to have unlimited downloads. OF course eventually you will have to either update or it wont work with a new operating system roll out , but that buys you a lot of time to re-evaluate shazam and see if you really think it's all that or not. if you would have updated your software right away like apple wanted you to last year, you would have been one of the millions that had all their info posted all over the web for every crook, hacker and thief to look over!! I;m guessing from your reply you probably are one of the ones that was security compromised. there are just 2 reasons out of a whole list of reasons why someone might not want to update their apps!! If you don't have anything helpful to say when someone asks a question, your not doing them or anyone a favor just zip and move along to something you might be able to help someone with

I have a new i7 2011 macbook pro 13 inch with snow leopard.
I have purchased Lion from App store but is unable to download and install it.
First time I tried to download it, it did not get downloaded so I cancelled the download.
Now I can see OSX Lion in "Purchased" in the App Store.
When I click "Install", I get the following message with two options "Cancel" & "Retry"

When I click "Retry", I get the same message "MZFairplay.frtoolFailure_message" with same two options "Cancel" & "Retry"

Yes. Each one needs to have Snow Leopard 10.6.8 installed in order to re-download from the App Store unless you make your own USB flash drive installer:
Make Your Own Lion Installer
1. After downloading Lion you must first save the Install Mac OS X Lion application. After Lion downloads DO NOT click on the Install button. Go to your Applications folder and make a copy of the Lion installer. Move the copy into your Downloads folder. Now you can click on the Install button. You must do this because the installer deletes itself automatically when it finishes installing Lion.
2. Get a USB flash drive that is at least 8 GBs. Prep this flash drive as follows:
Open Disk Utility in your Utilities folder.
After DU loads select your hard drive (this is the entry with the mfgr.'s ID and size) from the left side list. Note the SMART status of the drive in DU's status area. If it does not say "Verified" then the drive is failing or has failed and will need replacing. SMART info will not be reported on external drives. Otherwise, click on the Partition tab in the DU main window.
Under the Volume Scheme heading set the number of partitions from the drop down menu to one. Set the format type to Mac OS Extended (Journaled.) Click on the Options button, set the partition scheme to GUID then click on the OK button. Click on the Partition button and wait until the process has completed.
Select the volume you just created (this is the sub-entry under the drive entry) from the left side list. Click on the Erase tab in the DU main window.
Set the format type to Mac OS Extended (Journaled.) Click on the Options button, check the button for Zero Data and click on OK to return to the Erase window.
Click on the Erase button. The format process can take up to several hours depending upon the drive size.
3. Locate the saved Lion installer in your Downloads folder. CTRL- or RIGHT-click on the installer and select Show Package Contents from the contextual menu. Double-click on the Contents folder to open it. Double-click on the SharedSupport folder. In this folder you will see a disc image named InstallESD.dmg.
4. Plug in your freshly prepared USB flash drive. You are going to clone the InstallESD.dmg disc image to the flash drive as follows:
Open Disk Utility.
Select the USB flash drive from the left side list.
Click on the Restore tab in the DU main window.
Check the box labeled Erase destination.
Select the USB flash drive volume from the left side list and drag it to the Destination entry field.
Drag the InstallESD.dmg disc image file into the Source entry field.
Double-check you got it right, then click on the Restore button.
When the clone is completed you have a fully bootable Lion installer that you can use without having to re-download Lion.

The US store prices do not include the local sales taxes added in the final steps of the sale. If you do not have enough credit to cover the total the system asks for a credit card to cover the remaining balance.

I really do not think it is the iPad or your network connection. Other users have reported this very same issue. Try this and see if it works for you - it may not work - but it's easy to try - harmless - and it has worked in the past for others.
Try signing out of your account and restart your iPad.
Go to Settings>Store>Apple ID and tap the ID and sign out. Restart the iPad by holding down on the sleep button until the red slider appears and then slide to shut off. To power up hold the sleep button until the Apple logo appears and let go of the button. Go back to Settings>Store> Apple ID and sign in again.
