i have iPad2 and iPhone 3s ea with a different apple id. have the iPhone set up on iCloud but iPad running on version 4.3.3 how can I upgrade to iCloud not losing all Apps

You can't combine AppleIDs, including purchases. Updating iOS should not remove the books (nor should updating the iBooks app). If the books in question were purchased from iBooks (or even Nooks or Kindle), it would easy enough to redownload them, in the even there is an issue.

The Settings > General > Software Update option only appears when you have iOS 5+ installed, if you have iOS 4 then you will need to do the update via your computer's iTunes.
Connect the iPad to your computer's iTunes and copy any purchases off the iPad to your computer via File > Transfer Purchases. You may also want to copy photos and any important documents off the iPad as well e.g. via the file sharing section at the bottom of the device's apps tab when connected to iTunes, via wifi, email, dropbox etc - they should be included in the backup, but it's best to have a copy of them outside of the backup just in case. You can then force a backup of the iPad by right-clicking the iPad 'Device' on the left-hand side of iTunes and selecting 'Backup'.
Then start the update by selecting the iPad on the left-hand side of iTunes, and on the Summary tab on the right-hand side clicking the Check For Updates button

A first gen iPad will update to iOS 5.1.1 (it doesn't support iOS 6), and an iPad 2 and 3 to iOS 6.0.1 (they are the only versions that are 'signed' by Apple for them).

You Restore from iTune Backup.The syncing is towards the end of the Restore.
1. Settings>General>Reset>Erase all content and settings
2. You'll be asked twice to confirm
3. You'll see Apple logo and progress bar
4. You'll see a big iPad logo on screen
5. Configuration start
6. Set language
7. Set country
8. Select Network and input Password>Join
9. Enable Location Service>Next
10. You'll be given 3 options (a) Setup as New iPad (b) Restore from iCloud Backup (c) Restore from iTune Backup
11. Select Restore from iTune Backup
12. You will see picture of USB cable pointing towards iPad
13. Connect iPad to iTune (make sure iTune is on standby)
14. Tap Continue (computer)
15. Restore iPad from Backup (computer)
16. See progress bar with estimated time (computer)
17. See Restore in Progress on iPad
18. See Apple logo
19. See Apple and Progress Bar
20. Slide to Unlock
21. Copying Apps back to iPad (computer)
22. You'll see Loading/Installing/Waiting below the Apps (iPad)

Its not telling you to update your iPad, its telling you you need to download a recent version itunes on your computer.

Close your iTunes,
Go to command Prompt -
(Win 7/Vista) - START/ALL PROGRAMS/ACCESSORIES, right mouse click "Command Prompt", choose "Run as Administrator".
(Win XP SP2 n above) - START/ALL PROGRAMS/ACCESSORIES/Command Prompt
In the "Command Prompt" screen, type in
netsh winsock reset
Hit "ENTER" key
Restart your computer.
If you do get a prompt after restart windows to remap LSP, just click NO.
Now launch your iTunes and see if it is working now.
