ITunes is not recognizing my new Apple TV in device list.

I upgraded fro 1st gen Apple TV to a new Apple TV and iTunes 11.1 is not recognizing it in the device list on Tunes. When I open Preferences it says it is synching, but it shows it as my 1st gen unit.

There is no need to unplug the new Apple TV in order to delete the old one in iTunes preferences. You don't need to add the new Apple TV to iTunes in the way that you did with the previous Apple TV.
Have you set up homesharing yet.

    Particularly of note for your situation:
    External drive
    This option requires more work than Home Sharing, but it creates a backup of your iTunes library on the external drive in addition to moving your content.
    Notes before you start:
    You can use most iPods as an external drive.
    Windows operating systems don't recognize Mac OS-formatted disks (HFS or HFS Plus formats). Because of this, you can't use a Mac-formatted iPod or external drive to move your music to a Windows PC. See iPod: How to determine iPod's hard disk format if you're not sure how your iPod is formatted.
    Mac OS X can read Windows-formatted iPods and drives. This means there are many ways to migrate your information from your old Windows-based PC to your new Mac.
    Mac OS X: To be sure external drives appear on your desktop, choose Preferences from the Finder menu. Be sure the options for "External disks" and "Hard disks" are enabled.

    If  the issue persists after following the troubleshooting assistant,  continue with the steps below, testing to see if the issue is resolved  after each section.
    Ensure that your Mac meets the minimum system requirements for your iPhone, iPad, or iPod touch. iTunes 10 and later requires Mac OS X v10.5.8 or later.
    Update to the latest version of iTunes and Install software updates on your Mac.
    Check  USB connections. iOS devices require USB 2.0 to function properly. If  you are not sure if your Mac has USB 2.0 ports, refer to the computer's specifications. Disconnect other USB devices, and connect your device directly to a USB port on your Mac.
    Restart your Mac.

How can I get  itunes to recognize my new ipod?

    I plugged in my ipod to sync it and it asked to authorize my computer. I entered my password and I got an error message. I got an email to reset my password. I did. I go back to iTunes and I get the same error. I get another email to reset my password. This time I make sure I save the apple ID AND password. I get an another error and email from iTunes. I have re-set my password FIVE times in the last 30 minutes. WHY does iTunes not accept my apple id and password? I have an iPhone 4S and it works fine with the ID and password.     How are you getting to that screen ? If I tap on my id at the top of the Settings > iCloud screen then I get a popup with :
    Is that what you are seeing ? On the previous screen, below the account name and Mail, Contacts etc should be something like :
    Do you know if you originally set up iCloud on that iPad with either of those 2 passwords that you've tried, or was it originally done with a different id ?

    - I would start with
    Removing and Reinstalling iTunes, QuickTime, and other software components for Windows XP
    or              
    Removing and reinstalling iTunes and other software components for Windows Vista, Windows 7, or Windows 8
    However, after your remove the Apple software components also remove the iCloud Control Panel via Windows Programs and Features app in the Window Control Panel. Then reinstall all the Apple software components
    - New cable and different USB port
    - Run this and see if the results help with determine the cause
