Tried outside the cabinet also...cleared the cmos...tried to boot only with cpu cooler.an8800gt card ,1gb ram( Corsair ).Same  case...No..post ..
Even tried with the same configuration in my spare P5n-e sli mobo there it posted fine.
Beginning to feel that the mobo is defective.
"tried to boot only with cpu cooler"
You need a CPU as well
Can you try with different PSU too?
Also check mainboard CPU socket for bent-ed pins

I think u just set a new record for the cheapest PSU ever used on this forum
    Get a decend one  !!!
Why do you think most exprienced members here have a PSU that costs at least 4 times the amount u paid ?
    Here is mine:  http://www.newegg.com/Product/Product.asp?Item=N82E16817151023
I gladly payed them 100 bucks for the efficiency, stability and safety features on it, cus i don't want my valuable gear to get demaged (again !!) by some crappy PSU.

BIOS for Opetron 144 soc 939

Looks like most people / MoBo´s handle it with the existing E3/E4 core bios.
Seems like an extremely priceworthy cpu, looking at cost / performance ratio.
Hard to find but I´ll probably get a 144 or 146 for socket 939 in a few weeks.

    Nope. Didn't work.
I can try things all day but this doesn't make sense. Surely someone knows what bios settings are required (especially on the MSI board site) to set the bios on a MSI 945p platnium motherboard. I have the sata drive plugged into the Sata 1 connector and bios still says it is ide channel 4 master. The computer will boot with just the sata drive plugged in but the problems start when I plug the ide drives in on ide 1 or 2 or 3.

    just FYI
My board came with bios 1.1
I swapped if out with my old gigabyte, also upgrading the CPU to a Q9300.
I reused everything else, including my nvidia 8800GT and corsair memory.
I also have 4gb corsair (2x2gb sticks), but they are corsair value sticks
I had vista x64 installed on the harddisk.
when I switch on everything went fine. I installed the vista intel drivers off the supplied CD and it restarted and everything worked fine.
So sounds like your MB may be faulty, or there is something touchy about your RAM.
(note: i upgraded to 1.3 and switched to Sata and it stopped recognising the nvidia graphics driver. SO I flashed back to 1.2 and IDE and it all worked again).
PS: I can swap out my RAM fine with the graphics card in, its a tight squeeze, but there is no extension on value ram.
Your observation about BIOS 1.2 versus 1.3 makes me wonder, even though you're running Vista and I'm using XP, BIOS issues are BIOS issues, regardless of the OS. My Corsair memory works perfectly now that I've re-flashed the BIOS to the same exact version, and this system is now 24 hour Prime95 stable. I can't figure out what the heck is up with the Nvidia drivers and my 8800 GTS 512, though. Maybe it's a BIOS issue? I could always try flashing the 1.2 and see if the system will stop black screening as soon as it attempts to load any Nvidia driver higher than 169.06.

BIOS 3.4 - destroyed overclock and wierd CPU prob

Happy to see you have problem cause only few mention this.
I have it too with Venice 3500+. Forced multiplier 5, forced min. voltage and I get a cool 5x200. To fix it I must use HTT of 5, then rest acts normal. Anything but 5 and it defaults to this minimum setup. Yes, C&Q is turned off. May be if we set up C&Q in OS that would help but not going to happen.
Solution for me is to use bios 3.2 which dont have either RAID bug or 219 bug - which actually is a 22x bug for me. Ive done all P95 tests at 11x246 for min. 12 hours. Im not happy with solution or 3.2 though and hope new beta also fix this problem not so many talk about. Think Ive seen 5-6 crying about it in public. With HTT 5 you wouldnt notice, guess most use that.
If you test new beta bios and it does fix this please post so I know 3.5 is worth waiting for. Beta is not 100% compatible with our mobo I think - not sure you should flash unless you got bios savior, some have done it but Im not going to.
Link to beta https://forum-en.msi.com/index.php?topic=82493.0 but be careful...

Decompress the attached .rar archive with Winrar: http://www.rarlab.com/download.htm
Create a bootable usb stick (https://forum-en.msi.com/index.php?topic=165175.0).
Then unpack the previously provided archive (xxx.rar) and put the included file (TVxxxxx.zzz) on that stick.
    Rename TVxxxxx.zzz to zzz.rom.
    Put the atiflash.exe from: https://www.techpowerup.com/downloads/2306/atiflash-4-17/
on the USB stick too. Now boot from the stick.
Type atiflash -p -f -noaper 0 zzz.rom [ENTER] and let it flash the vbios.

The best I can advise is to delete Control Centre from your PC and attempt changes via the BIOS. IF that fails then MSI technical needs to be advised so that they can try and simulate your hardware combo. If it does work via the BIOS, then MSI technical should be advised irrespective about the Control Centre's inability to perform the functions it should.
My own experience with Control Centre software has been anything but satisfactory. The best way is still to tweak via the BIOS.
Just to confirm, you did do a CMOS reset/clear after the BIOS update? Power cord removed..... the normal procedure?
Yeah I've been working in the BIOS.. Bummer the tool lets me change everything but the CPU ratio..
I cleared CMOS w/ the same process you mentioned a few times prior to be sure..
Just after I made the initial post I opened a tech support tkt so we shall see.. I still think it has something to so w/ the BIOS interpreting my CPU as locked but I could be wrong..
Thanks for your assistance.. I appreciate it..
