My iTouch is currently 4.2.1 and won't sync with iTunes.

The Ipod shows up in iTunes, but when I click sync it says "Synching ipod" then "Synching ipod (step 1 of 1) preparing to sync to sync" and then stops with nothing synced. This happens in about 2 seconds. I am currently running windows 7 64 bit

Try resetting the iPod and trying again.
Reset iPod touch:  Hold down the On/Off button and the Home button at the same time for at
least ten seconds, until the Apple logo appears.
