If you are updating via Settings>General>Software update then connect to your computer and update via iTunes

You only have the option if you are already running iOS 5. If you are trying to update the iOS, you have to use iTunes on a computer to update the iPad.

Yes, I know. But at one point in activating FaceTime or iMessage you will need to be able to send a text message. If you can't, there will be no activation.

This screen on your iPad indicates that the device is in recovery mode and will need to be plugged in to your computer with iTunes to restore the device back to its factory settings. Please see the following articles for more information.

Thanks Chris for your advice. I have done the restoration from both the device and computer as a new device but it doesn't help. Even I have restored my device to the factory settings with standard apps in it without installing any other additional apps, the phone heats up & I have to recharge at least 3 times per day. Try this and see if it will restart the update. If it doe not work, you will need to restore your iPad using Recovery Mode.
Reset the iPad by holding down on the sleep and home buttons at the same time for about 10-15 seconds until the Apple Logo appears - ignore the red slider if it appears on the screen - let go of the buttons. Let the iPad start up.

You have to connect the iPad to your computer to update.
If you have an iPad 1, the max iOS is 5.1.1. For newer iPads, the current iOS is 6.1.3. The Settings>General>Software Update only appears if you have iOS 5.0 or higher currently installed.
